1. Agreement to Terms

By accessing or using our Services, you agree to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these Terms, you are prohibited from using or accessing our Services.

2.3 Membership Fees

Membership fees vary depending on the type of membership you select. These fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our membership fees at any time, but changes will not affect the fees for memberships already paid for.

2.4 Account Creation

To access certain features of our Services, you must create an account. When you create an account, you must provide accurate, current, and complete information. You are responsible for safeguarding your account information and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this instruction.

3. Use of Services

3.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use.

3.2 Prohibited Use

You agree not to use our Services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate RiaccAbbra Singapore Collectors Club, a staff member, another member, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm RiaccAbbra Singapore Collectors Club or members of the club or expose them to liability
• To attempt to bypass any measures we use to prevent or restrict access to the Services
• For any fraudulent or illegal purpose

3.3 User Contributions

Our Services may allow members to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions"). All User Contributions must comply with the Content Standards set out in these Terms.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on our Services, you grant us and our affiliates and service providers the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above
• All of your User Contributions comply with these Terms

3.4 Content Standards

These Content Standards apply to any and all User Contributions. User Contributions must:

• Be accurate (where they state facts)
• Be genuinely held (where they state opinions)
• Comply with all applicable laws and regulations

User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person
• Violate the legal rights of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations
• Be likely to deceive any person
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising

3.5 Monitoring and Enforcement

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason
• Take any action with respect to any User Contribution that we deem necessary or appropriate at our sole discretion
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services
• Terminate or suspend your access to all or part of the Services for any violation of these Terms

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by RiaccAbbra Singapore Collectors Club, its licensors, or other providers of such material and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use the Services

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services as set forth in these Terms. This license does not include:

• The right to reproduce, distribute, publicly display, or publicly perform the Services, except as expressly permitted by these Terms
• Any resale or commercial use of the Services or the content therein
• Any derivative use of the Services or their contents
• Any use of data mining, robots, or similar data gathering and extraction tools

4.3 Trademarks

The RiaccAbbra name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RiaccAbbra Singapore Collectors Club or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on our Services are the trademarks of their respective owners.

5. Limitation of Liability

In no event will RiaccAbbra Singapore Collectors Club, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Services, any websites linked to it, any content on the Services or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

6. Indemnification

You agree to defend, indemnify, and hold harmless RiaccAbbra Singapore Collectors Club, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

7. Events and Meetings

7.1 Event Registration

Our Services may allow you to register for events, workshops, exhibitions, and other gatherings (collectively, "Events"). By registering for an Event, you agree to pay any applicable fees and comply with any terms or rules specific to that Event.

7.2 Cancellation and Refund Policy

Our cancellation and refund policy for Events is as follows:

• Cancellations made more than 14 days before an Event may be eligible for a full refund
• Cancellations made between 7 and 14 days before an Event may be eligible for a 50% refund
• Cancellations made less than 7 days before an Event are not eligible for a refund

We reserve the right to cancel, postpone, or change the venue of any Event. If we cancel an Event, we will issue a full refund of any registration fees paid. However, we are not responsible for any other expenses you may have incurred in relation to the cancelled Event.

7.3 Event Conduct

When attending our Events, you agree to conduct yourself in a professional and respectful manner. We reserve the right to remove any attendee from an Event for disruptive, dangerous, or inappropriate behavior without a refund.

8. Trading and Transactions Between Members

8.1 Member Transactions

Our Services may facilitate transactions between members, including trading, buying, and selling collectibles. Please note that:

• We are not a party to transactions between members
• We do not verify the authenticity or value of items traded or sold between members
• We do not guarantee the performance of any member in a transaction

All transactions between members are at their own risk. We strongly recommend that members exercise due diligence before engaging in any transaction.

8.2 Trading Sessions

We may organize trading sessions as part of our Events. By participating in a trading session, you acknowledge that:

• You are responsible for verifying the authenticity and condition of any item before agreeing to a transaction
• You are responsible for complying with all applicable laws and regulations regarding the buying, selling, and trading of collectibles
• We are not responsible for any disputes that may arise from transactions conducted during trading sessions

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Services, or you may contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

11. Miscellaneous

11.1 Entire Agreement

These Terms, our Privacy Policy, and any specific event terms or rules constitute the sole and entire agreement between you and RiaccAbbra Singapore Collectors Club regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

11.2 Waiver

No waiver by RiaccAbbra Singapore Collectors Club of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of RiaccAbbra Singapore Collectors Club to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

11.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
